In short
You agree to use Ajuni in good faith and within the law. We agree to run the platform under your Subscription Agreement and SLA.
Your data is yours. We cannot see it, we do not share it, and we do not train models on it.
If either side wants out, you have 90 days to export your configuration, agent definitions, audit history, and data. After that we return or delete the rest, your choice, and confirm it in writing.
When these terms apply
These Terms apply the moment you use ajuni.io or the Ajuni platform. If you are signing up on behalf of your company, you are confirming you have the authority to bind it.
These Terms include the Data Processing Addendum, the Privacy Policy, and the Cookie Policy. If your order form says something different on a specific point, the order form wins on that point.
What you get
Ajuni is a platform for building, governing, and running AI agents inside enterprise environments. What you can use, how much you can use, and what uptime we promise are set in your order form and SLA tier.
The documentation at docs.ajuni.io is part of this contract. If we describe a feature there, we are committing to it.
Service levels and credits
We offer three SLA tiers, set in the order form. Pilot promises 99.5 percent monthly uptime, 8 business hours first response, no service credits. Business promises 99.9 percent monthly uptime, 4 business hours first response, 10 percent of monthly fees as credit per breach. Enterprise promises 99.99 percent monthly uptime, 1 hour first response on a 24x7 basis, 25 percent of monthly fees as credit per breach.
Credits are applied to your next invoice automatically. You do not have to file a claim. Maintenance windows announced at least 7 days in advance are excluded from uptime calculations.
Beta and preview features
From time to time we release features marked Beta, Preview, or Alpha. These features are made available to learn what works in production. They are not covered by the SLA, the uptime credits, or the indemnities in this contract.
If a feature is marked Beta in the product or in our changelog, the marking is the contract. We will tell you when a Beta feature graduates to General Availability, at which point the full Terms apply.
Your data stays yours
Everything your agents process, the prompts you write, the outputs they produce, the content you upload, the configurations you build. All of it is yours.
You grant us a limited licence to host, store, transmit, display, back up, restore, and process customer data only as needed to run the platform for you, to provide support when you ask for it, and to meet our obligations under the Subscription Agreement. The licence ends when the contract ends, except for the 90-day export window.
We do not train Ajuni's models on customer data. We do not give customer data to third parties unless you direct us to, through an integration you turn on, or because a valid legal order forces us to, in which case we tell you first if the law lets us.
Outputs your agents produce using your data belong to you. To the extent any of those outputs would otherwise vest in us, we assign all right, title, and interest in those outputs back to you. We make no claim of copyright in machine-generated outputs your agents produced through the service.
AI outputs and human oversight
AI agents can produce inaccurate, biased, or out-of-date outputs. We work hard to reduce that and the platform ships with citation enforcement, confidence scoring, and policy-based blocking of low-confidence outputs. None of these eliminate the risk.
You agree to keep a human in the loop for any agent decision that affects an individual's legal rights, financial position, employment, healthcare, or access to essential services. You agree to tell your end users when they are interacting with an AI agent. You are responsible for any disclosures, disclaimers, or human-review steps your regulators require.
Your responsibilities
Use the platform within the law and the documentation. Keep your credentials safe. Give us accurate company and billing information. You own the conduct of your end users and the outputs your agents produce inside your environment.
If you find a security issue in the platform, write to [email protected]. We will acknowledge within one business day.
What you cannot do
You cannot use Ajuni to break a law or someone else's rights. You cannot bypass rate limits or security controls. You cannot reverse engineer the platform or scrape it for training data. You cannot build a competing agentic-AI platform on top of it. You cannot use it to deceive end users about whether they are talking to a human.
If any of this happens, we may suspend access. We give notice before suspension when we safely can.
Pricing and payment
Pricing is what your order form says. Invoices are payable in 30 days unless your order form sets a different period. Late payments may carry interest at 1.5 percent per month or the highest rate the law allows, whichever is lower.
GST applies to Indian customers and is added to invoices. At renewal we may change prices with at least 60 days written notice. You can decline the new price by not renewing.
If something serious goes wrong
If either side breaks a material part of this contract, the other side has the right to call it out in writing. The party at fault has 30 days to fix it. If it is not fixed in that window, the other side can terminate.
A material breach is one that goes to the core of the deal. Examples include missed payments not cured after notice, security failures that put customer data at risk, and SLA breaches that exceed the credits in your contract on 3 or more occasions in a rolling 12-month window.
Leaving Ajuni
When the contract ends, you have 90 days to export your configuration, agent definitions, audit history, and any data your contract names as exportable. The export format is JSON plus a documented schema.
After 90 days we return or delete the rest, as you choose, except where a law tells us to retain it. We confirm the deletion or return in writing.
Clauses that should outlive the contract do so. That includes Confidentiality, Intellectual Property, the Limitation of Liability, and Governing Law.
Limitation of liability
Each side's total liability under this contract is capped at the fees you paid us in the 12 months before the event that caused the claim. Neither side is liable for lost profits, lost revenue, or indirect, incidental, special, consequential, or punitive damages.
This cap does not apply to gross negligence, wilful misconduct, indemnity obligations, or amounts a party cannot lawfully limit.
Indemnification
We will defend you against third-party claims that the platform infringes a patent, copyright, or trade secret, and pay the damages a court awards or the settlement we agree to. We need prompt written notice, control of the defence, and your reasonable cooperation.
You will defend us against third-party claims arising from your data, your end users, or how you used the platform outside this contract and the documentation. The same notice and cooperation rules apply.
Both indemnities are subject to the Limitation of Liability section. Nothing in this section creates an obligation outside that cap.
Force majeure
Neither side is liable for delay or failure to perform when the cause is outside reasonable control. That includes natural disasters, war, civil unrest, government action, regulator intervention, and large-scale internet or power outages.
The affected party tells the other within 5 business days, makes reasonable efforts to work around the event, and resumes performance as soon as it can. If a force majeure event continues for more than 60 consecutive days, either side may terminate the affected services without penalty.
Dispute escalation
Disputes start with a written notice describing the issue. Within 10 business days, business owners from both sides meet to attempt resolution. If that does not work within 20 business days of the original notice, executives from both sides meet within a further 10 business days.
If the dispute is still unresolved 45 days after the original notice, either side may file in court under the Governing Law section.
Governing law
This contract is governed by the laws of India. Disputes go to the courts of Gurugram, Haryana, unless the law mandates a different forum for one of us.
Assignment
You may not assign this contract without our written consent. We may assign it to an affiliate, in a corporate transaction, or to a successor in interest, with notice to you. Any assignment without proper consent or notice is void.
Notices
Notices to us go to [email protected] with a copy by registered post to our Gurugram address on file. Notices to you go to the admin email on file in your account, with a copy to any legal-notice address you have registered.
Notice is effective on the date sent for email and on the date received for post.
Export controls and sanctions
You may not use the platform if you are located in, or controlled by a party located in, a country subject to comprehensive sanctions, or if you are listed on a denied-party list maintained by the United States, the European Union, the United Kingdom, or India. You also may not use the platform to assist any such party.
If your status changes, you will tell us within 5 business days. We may suspend or terminate access without notice on confirming such status.
Entire agreement
Your order form, these Terms, the Data Processing Addendum, the Privacy Policy, the Cookie Policy, and any documentation referenced in any of these, together form the entire agreement between us. They replace any prior proposal, statement, or representation on the same subject.
If any clause is held unenforceable, the rest stays in force. A waiver on one occasion is not a waiver on any later occasion.
Changes to these terms
If we change these Terms in a way that affects your rights or our obligations, we update the effective date at the top and notify customer admins by email at least 30 days before the change takes effect.
If you keep using the platform after the change is live, you are accepting it. If you do not accept, write to [email protected] before the effective date and we will work out a path that respects the change and your contract.
